Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AIGovernr platform, website, and related services (collectively, the "Service") provided by YImagine, Inc. ("we", "us", "our"). AIGovernr is a software product operated by YImagine, Inc.. By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age, or the minimum digital age of consent in your jurisdiction (whichever is higher), and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AIGovernr is a B2B AI governance SaaS platform that helps organizations establish, document, and maintain accountable governance across their AI systems. Capabilities include:

• AI system inventory: Record AI systems, owners, vendors, purposes, and relevant lifecycle information.
• Governance scope and classification: Establish governance scope and classify systems against relevant organizational and regulatory criteria.
• Governance plans: Define accountable governance activities, ownership, and implementation work.
• Controls, assessments, and evidence: Manage control implementation, assessments, and supporting evidence.
• Findings, risks, and remediation: Document issues, evaluate risks, and track remediation work.
• Accountable decisions: Record decisions, approvals, ownership, and supporting rationale.
• Ongoing monitoring and reporting: Track governance status and produce reports for internal and external stakeholders.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete registration information.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to the Service or its infrastructure.
• Scan websites you do not own or have authorization to scan.
• Abuse rate limits or attempt to overwhelm the Service with excessive requests.
• Resell, sublicense, or redistribute the Service without our written consent.

5. Intellectual Property

The Service, including its design, software, features, and documentation, is protected by applicable intellectual property laws. Except for content owned by users or third parties, rights in the Service are reserved by YImagine, Inc. and its applicable licensors. You retain ownership of any code or content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the Service.

6. Data Handling

• Source code: Processed in-memory during scans and not persistently stored after scan completion.
• Scan results: Stored in your account for up to 12 months.
• Anonymous scans: Unclaimed scan links expire after 48 hours and their snapshots are purged after 30 days.
• Website compliance scans: Only publicly accessible content is crawled. No authentication credentials are required or requested.

7. Free & Paid Plans

• Starter plan: A limited free plan. No payment required.
• Paid subscription plans: Current prices and billing periods are displayed on the public pricing page. Applicable taxes may apply.
• Automatic renewal: Paid subscriptions automatically renew for the applicable billing period unless canceled before renewal. Renewal notices will be provided where required by applicable law.
• Cancellation: Subscriptions may be canceled at any time to prevent future renewal charges. Cancellation may be completed using the subscription-management method made available for the account or by contacting contact@yimagine.com for assistance. Unless otherwise required by applicable law, cancellation takes effect at the end of the current paid billing period and access continues until that period ends.

8. Purchases Through Paddle

Purchases completed through Paddle are processed by Paddle as the Merchant of Record and authorized reseller. Paddle handles payment collection, billing, applicable taxes, subscription administration, and refund processing for those purchases. Paddle's buyer terms apply to the transaction, while your use of AIGovernr remains governed by these Terms.

9. Refund Policy

Refund requests are governed by our Refund & Cancellation Policy and, for Paddle-processed purchases, Paddle's Refund Policy and applicable statutory consumer rights.

10. Disclaimers

• The Service identifies compliance risk indicators, not confirmed legal violations. Results are informational only and must be reviewed and validated by qualified AI compliance consultants before any reliance is placed on them.
• We do not guarantee that using the Service will make you fully compliant with any regulation. The Service does not constitute legal advice, legal counsel, or a legal opinion.
• The Trust Score is a relative risk indicator, not a certification, attestation, or guarantee of regulatory compliance.
• The Service is provided "as is" without warranties of any kind, to the extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, YImagine, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with reasonable notice where possible. Upon termination, your right to use the Service ceases immediately. You may export your data before termination by contacting us.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except where mandatory applicable law provides otherwise. Subject to any non-waivable rights under applicable law, disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the appropriate state and federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance.
